Summary of the Role:

Propose to recruit a versatile professional to fill the role of a Legal Counsel - cum Company Secretary, India. This individual will dedicate 70% of time to legal matters and the remaining 30% to corporate secretarial duties. 

The resource will be employed by the Lubrizol Global Services Center Private Limited (“GCC Entity”) and shall be based in Pune.  

(S)he will report directly to the Director Legal Services and collaborate closely with internal stakeholders on secretarial compliance matters, as necessary. Whilst (s)he will be designated as Company Secretary for the GCC entity, s(he) will also be responsible for company secretarial compliances for Lubrizol Advanced Materials India Private Limited as well as legal and company secretarial support as needed from time to time for Lubrizol’s group companies and branch offices in Africa and the Middle East, including Saudi Arabia, Türkiye and the UAE.

Legal Responsibilities:

•    Provide legal counsel and guidance on various business activities, contracts, and agreements.
•    Conduct legal research and analysis to ensure compliance with applicable laws and regulations.
•    Draft, review, and negotiate legal documents including contracts, agreements, and legal correspondence.
•    Represent the company in legal proceedings, including negotiations, mediations, and litigations.
•    Stay updated on changes in laws and regulations relevant to the business and advise stakeholders accordingly.
•    Support strategic projects of Lubrizol’s group companies in India, the Middle East (including Saudi Arabia, Türkiye and the UAE) and South Africa.

    Corporate Secretarial Responsibilities:

    Assist in maintaining corporate records, including board meeting minutes, resolutions, and filings.
    Ensure compliance with statutory and regulatory requirements related to corporate governance.
    Coordinate with internal stakeholders to facilitate smooth conduct of board meetings and annual general meetings.
    Assist in drafting and filing necessary documents with regulatory authorities.
    Support Lubrizol Corporate - Senior Manager Governance and LZAM India Head of Finance in ensuring adherence to secretarial compliance requirements India in the Middle East (including Saudi Arabia, Türkiye and the UAE) and South Africa.

Requirements (education, experience, competencies and specific job requirements):

•    Demonstrated expertise in legal research, drafting, and negotiation.
•    Strong understanding of corporate governance principles and secretarial compliance requirements.
•    Excellent communication and interpersonal skills, with the ability to interact effectively with stakeholders at all levels.
•    Detail-oriented with strong organizational and time management skills.
•    Ability to work independently and collaboratively in a fast-paced environment.
•    Experience in the Middle East and Africa not required but considered a plus. 

Education / Certification: 

•    LLB and
•    Member of the Institute of Company Secretaries of India

Experience and Skills:  

•    Qualified lawyer and Company Secretary with a minimum of 8 years PQE
